WIREFREESOFT TERMS AND CONDITIONS OF SERVICE

Please read these Terms and Conditions (“Agreement”, “Terms”) carefully before using the services, website development, website hosting management, or advertising management platforms provided by Wirefreesoft (“Wirefreesoft”, “we”, “us”, or “our”).

By entering into a service agreement, submitting payment, or allowing Wirefreesoft to develop, host, or manage digital assets for your company (“Client”, “you”, or “your”), you agree to be bound by these Terms.


1. Scope of Services

Wirefreesoft provides professional digital agency services, including but not limited to:

  • Custom website design and development.
  • Website hosting management and deployment.
  • Advertising platform management and digital marketing strategy.
  • Third-party software integration and configuration.

2. Third-Party Services and Platform Dependencies

Client acknowledges that Wirefreesoft builds, hosts, and manages websites and advertising campaigns utilizing tools, servers, software, and infrastructure provided by third-party vendor companies.

To deliver these services, Wirefreesoft utilizes, integrates with, or manages services from the following third-party companies and tools (collectively, “Third-Party Service Providers”):

  • Cloud & Web Hosting Infrastructure: Google Cloud, Amazon Web Services (AWS), SiteGround, Hostinger, Bluehost, Network Solutions, GoDaddy.
  • Content Management & E-Commerce: WordPress (including various core WordPress versions), WooCommerce.
  • Applications & Plugins: WP Forms, Envato elements/assets, Adobe Creative Cloud, and various other third-party themes, utilities, or plugins.
  • Marketing & Analytics Platforms: Google Ads, Google Search Console, Google Analytics 4 (GA4) Platform, Facebook/Meta Business Suite, Yelp.

3. Limitation of Liability for Third-Party Disruption

Once Wirefreesoft develops or hosts a website for a Client, Wirefreesoft acts solely as an administrator or facilitator of these environments. Wirefreesoft is not liable, legally or financially, for website downtime, malfunctions, broken layouts, data loss, or service interruptions caused by issues outside of our direct, internal control.

Specifically, Wirefreesoft shall not be held liable for website or business disruptions resulting from:

  • Core Software Updates: Automated or mandatory updates to WordPress versions, WooCommerce, or specific third-party themes and plugins that cause site errors or compatibility conflicts.
  • Third-Party App Failures: Inoperability, bugs, API changes, licensing changes, or deprecation of any third-party app, tool, or plugin used to run the website.
  • Server & Cloud Downtime: Outages, network failures, hardware issues, or data center disruptions occurring on servers owned or operated by our Third-Party Service Providers (e.g., Google Cloud, AWS, SiteGround, etc.).
  • Global Tech Changes: Algorithmic updates, policy changes, or system-wide disruptions instituted by major tech entities controlling web traffic, search indices, or advertising platforms.

4. Domain Email and SMTP Service Disclaimer

Wirefreesoft frequently configures external mail delivery protocols, such as SMTP (Simple Mail Transfer Protocol) plugins or transactional email services, to facilitate website forms and domain-based emails.

  • Client explicitly acknowledges that email delivery reliability depends entirely on the respective third-party SMTP or email hosting provider, domain reputation, and receiving server spam filters.
  • Wirefreesoft is not liable for lost business, missing leads, blocked domain emails, delivery delays, or failure of contact forms resulting from technical alterations or outages caused by external SMTP services or email providers.

5. Client Responsibilities

The Client agrees to:

  • Cooperate promptly regarding necessary plugin license renewals, domain renewals, or hosting fees required to keep third-party services active.
  • Maintain backup copies of critical external business records, acknowledging that while Wirefreesoft may manage server backups, absolute data retention is subject to the limitations of the underlying hosting provider.
  • Wirefreeesoft invoices clients per line hour of work, software fees, license fees, plugin fees and all other web or hosting apps or services. Wirefreesoft can/will pause a client website from web access for non-payment on a Net 30 basis from the invoice date for unpaid services or hosting related fees.

6. Indemnification

Client agrees to indemnify, defend, and hold harmless Wirefreesoft, its contractors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from the failure or malfunction of any Third-Party Service Provider software or hardware.


7. Governing Law and Amendments

This Agreement shall be governed and construed in accordance with the laws of the jurisdiction in which Wirefreesoft operates, without regard to its conflict of law provisions. Wirefreesoft reserves the right, at our sole discretion, to modify or replace these Terms at any time.
